Last updated · 23 October 2026
The bracketed fields still need filling, in particular pricing and payment terms. This is a working draft: a commercial contract carries real liability, have it checked by your legal adviser before publishing.
1. Purpose
These terms govern the consulting and implementation services in sales acquisition provided by Yann Mocquery, sole trader operating as Y10Y and Jungle Lead, 10 avenue de la Grande Plage, 64210 Bidart, France, SIRET 913 064 150 00018, the Provider, to any legal entity, the Client. They apply to the exclusion of any other terms, including the Client's purchasing terms, unless agreed otherwise in writing.
2. Services
The Provider offers two formats.
Done for you
The Provider builds and runs the acquisition system on the Client's behalf: targeting, personas and tiers, data enrichment, sending infrastructure and deliverability, sequence writing and execution, AI agents, alerts and reporting.
Done with you
The Provider builds the system together with the Client's teams, inside the Client's own accounts and tools, and trains those teams to run it independently.
The scope and deliverables of the chosen format are set out in the accepted proposal, which prevails over these terms in case of conflict.
3. Nature of the commitment
The Provider has an obligation of means. It applies its know how, tools and experience to open qualified sales conversations. It does not guarantee a number of meetings, a revenue figure or a conversion rate, as these depend on the market, the Client's offer and the responsiveness of its teams.
4. Term
The initial term is one hundred and twenty days from [start point: signature, first workshop, or other]. It covers building the system and iterating on at least thirty campaigns. After that, the engagement continues [by monthly tacit renewal, or by express renewal].
5. Fees and payment
Fees are those in the accepted proposal: [pricing model: monthly retainer, fixed fee, or other]. The applicable VAT treatment is stated on each invoice.
Invoices are payable within [payment term]. Under article L441-10 of the French commercial code, late payment automatically incurs interest at [rate] plus a fixed recovery charge of forty euros.
Subscriptions to the third party tools the system needs, including Clay, lemlist and enrichment credits, are [borne by the Client, or included].
6. Client obligations
- Appoint a single point of contact with decision making authority.
- Provide what is needed: positioning, customer stories, field objections, tool access.
- Approve sequences and messaging within a reasonable time.
- Handle the conversations opened and the replies received.
- Warrant that any contact files it provides were collected lawfully.
7. Confidentiality
Each party will keep the other's information confidential for the duration of the engagement and for [period, for example three years] afterwards. The Provider may name the Client as a reference unless the Client objects in writing.
8. Ownership of deliverables and data
The Client's data, prospect files and the conversations generated belong to the Client and remain with it.
The workflows, templates, prompts and methods developed by the Provider remain its property. Under Done with you, the Client gets a non exclusive, perpetual internal right to use the deliverables built in its own accounts.
The Provider keeps the right to reuse its know how and the generic components of its method.
9. Data protection
Where the Provider processes personal data on the Client's behalf, it acts as a processor under the General Data Protection Regulation. The parties enter into [a data processing agreement annexed to the contract] for this purpose. The Provider will act only on the Client's instructions, secure the processing and assist the Client with its obligations, including handling objections from the people contacted.
10. Liability
The Provider's liability is limited to direct damage and capped at the amounts actually paid by the Client over the last [number] months. The Provider is not liable for indirect damage, including loss of revenue, loss of data or reputational harm.
The Provider is not liable for failures of third party tools, for account suspensions decided by their publishers, or for changes to their terms of use.
11. Termination
Either party may terminate for the other's material breach, uncured thirty days after a formal notice. After the initial term, either party may terminate on [notice period] notice.
On termination, the Provider returns the Client's data and accesses, and deletes the copies it holds within [period].
12. Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French civil code.
13. Governing law and jurisdiction
These terms are governed by French law. Failing an amicable settlement, disputes fall to the exclusive jurisdiction of the courts of Bayonne, France.
